CHARITY ORGANIZATION AGREEMENT.

This Charity Organization Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between ________________, Contact Info; ____________ (hereinafter referred to as the “Company”), and _____________, Contact Info; ____________ (herein referred to as the “Client”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for ______ [Days/Weeks/Months/Years], commencing on the Effective Date herein.

  • SCOPE.
      1. The Company and the Client shall organize a charity function, the Company shall provide the merchandise to be sold on behalf of the Client for the sole purpose of raising funds for the charity. The Company shall make sales of commissioned T-shirts designed by the Company by the approval of the Client.
      2. The Client understands that the Company cannot guarantee the value of the sales that shall be made, the Company shall however do its best to ensure maximum sales are achieved using the Company’s sales and marketing strategy.
      3. The Company’s marketing team shall be responsible for advertising the charity online, including using social media platforms such as Facebook and Instagram. The Company shall connect social media links to the brand in order to raise the sales and draw attention to the charity events.
  • COMPENSATION/PROFIT.

The Company shall give __% from the profits made from the sale of merchandise on behalf of the Client for the charity.

  • TERMINATION/CANCELLATION.

The Parties acknowledge that either Partner can cancel this Agreement at any time provided that they issue a ___ Day Written Notice on the same.

  • COPYRIGHTS.

The Company shall own all and any copyrights over the commissioned T-shirts and any other merchandise covered under this Agreement. The Company shall have the right sell, reproduce, brand, advertise and market the merchandise as they see fit. The Client shall not lay any claim or rights to the merchandise during the term of this Agreement or the termination/cancellation thereof.

  • LIABILITY/WAIVER.
      1. The Company shall not, during the term of this Agreement, be held liable for any loss and/or damage cause to the merchandise while carrying out their obligations under this Agreement, as long as the loss and/or damage is not in any way due to the Company’s negligence. The Client agrees to indemnify the Company against any claims that may arise from the performance of this Agreement. 
      2. The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.  
  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION. 
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of the England. Exclusive jurisdiction and venue shall be in England. 
    3. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.

IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
