BUSINESS AGREEMENT.

This Business Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2020 (the “effective date”), between _____________ (hereinafter referred to as the “Client”), and SLR Medical Consulting, Address _____________ (herein referred to as the “Promoter”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period _______ [Months/Years], commencing on the Effective Date herein. 

  • SCOPE.
    1. The Promoter shall post the Client’s business advertisements on their official social media pages. This shall include;
  1. One time Instagram post per outfit (that shall be selected by the Client). This shall be within 7 days of recovering the product.
  2. The post shall have the tag @designby.liamli Instagram page.
  1. The Client shall review the post made by the Promoter before it is posted.
  2. The post shall remain on the Promoter’s page for a period not less than 1 month since the date it was made.
  • PAYMENT.

The Parties shall discuss the cost to be covered under this Agreement. However, the Parties agree that upon agreeing on the cost, 50% of the amount shall be paid upfront and the remaining 50% upon delivery.

  • LIABILITY.

The Promoter shall not be held liable for any legal issues arising from the Client’s business or the content advertised.

  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION. 
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of the ____________ [State/Country]. Exclusive jurisdiction and venue shall be in _____________ [State/Country].

IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
