| ATTORNEY-CLIENT FEE CONTRACT This ATTORNEY-CLIENT FEE CONTRACT is entered this _____ day of _______________, 2021 between Insert Name of Client (herein referred to as “Client”) of Insert Client’s Address, and Insert Name of Law Firm (herein referred to as “Law Firm”) of Insert Law Firm’s Address. Conditions. This Contract will not take effect, and Law Firm will have no obligation to provide legal services, until Client returns a signed copy of this Contract and pays consideration in accordance with Section __ of this Contract.Scope and Duties. Client hires Law Firm to provide legal services and consultations, and to act as Power of Attorney. Legal Fees. Client agrees to make two payments every year of Insert Amount and Currency to Law Firm. Law Firm and Client agree that no attorney-client relationship shall exist until Law Firm has been paid consideration by Client. Additional services offered by Law Firm shall be provided for in a separate contract. Costs and Expenses. In addition to paying legal fees, Client shall reimburse Law Firm for all costs and expenses incurred by Law Firm, including, but not limited to, process servers’ fees, fees fixed by law or assessed by courts or other agencies, court reporters’ fees, long distance telephone calls, messenger and other delivery fees, postage, in-office photocopying at Insert Amount and Currency per page, parking, mileage at Insert Amount and Currency per mile, investigation expenses, consultants’ fees, expert witness fees and other similar items. Client authorizes Law Firm to incur all reasonable costs and to hire any investigators, consultants or expert witnesses reasonably necessary in Law Firm’s judgement, unless one or both of the clauses below are initiated by Client and Law Firm.Statements. Law Firm shall send Client periodic statements for fees and costs incurred. Upon Client’s request, Law Firm will provide a statement within seven (7) working days. If Client pays down payment, for instance, court fees, Law Firm will have to send statements.Discharge and Withdrawal. Client may discharge Law Firm at any time. Law Firm may withdraw with Client’s consent or for good cause. Good cause includes Client’s breach of this Contract, Client’s refusal to cooperate with Law Firm or to follow Law Firm’s advice on a material matter or any other fact or circumstance that would render Law Firm’s continuing representation unlawful or unethical. Client has the right to dismiss Law Firm by a written letter in effect upon reception, provided that the fees mentioned above remain due to Law Firm. Law Firm may withdraw with Client’s consent or for good cause in any stage, if Client was not cooperating, not paying fees or giving incorrect information.Conclusion of Services. This Contract expires one year from the Effective Date. It will be renewed automatically unless one party issues 3-months’ notice to the other that they don’t want to renew. Attorney-Client Privilege. Law Firm, and its employees, agents, or representatives will not at any time or in any manner, either directly or indirectly divulge, disclose, or communicate in any manner, any information that is proprietary to Client or relating to Client’s matters. Client and its employees, agents, and representatives will protect such information and treat it as strictly confidential. This provision will continue to be effective after the termination of this Contract.Dispute Resolution. Disputes relating to, or arising out of this Contract shall be resolved by litigation under jurisdiction of Dubai courts.Governing Law. The parties submit to the law of United Arab Emirates for the enforcement of this Contract or any arbitration award or decision arising from this Contract.Jurisdiction. The parties hereby grant jurisdiction to the courts of Dubai for the enforcement of this Contract or any arbitration award or decision arising from this contract.Disclaimer of Guarantee. Nothing in this Contract and nothing in Law Firm’s statements to Client will be construed as a promise or guarantee about the outcome of any of Client’s matters. Law Firm makes no such promises or guarantees. Law Firm’s comments about the outcome of Client’s matters are expressions of opinion only.Modification of Contract. Any amendment or modification of this Contract or additional obligation assumed by either party in connection with this Contract will only be binding if evidenced in writing signed by each party or an authorized representative of each party.Assignment. No party will voluntarily, or by operation of law, assign or otherwise transfer its obligations under this Contract without the prior written consent of the other party.Approved Text. The parties agree that in the event of a conflict, the Arabic language text or the translation from Law Firm will be the approved text.Notice. All contact and location details in this Contract are correct.
