This Agency Agreement (hereinafter referred to as the “Agreement”) is entered into on this ________ day of __________ XXX by and between ________________ (trading under ________________________ hereinafter referred to as the “Company”) and ____________________ (hereinafter referred to as the “Agent”). Together referred to as “parties.”
WHEREAS the Company is in the Construction business, the parties agree to be mutually bound by the terms and obligations provided hereunder; –
- Purpose.
Parties agree that the Agent will be responsible for finding business and/or clients for the Company.
The arrangement herein shall be for a period of 18 months with the option for renewal as to be agreed between the parties herein.
The parties agree that the Agent’s finder’s fee shall be paid out on the first following Friday once the completion of the installation is provided unless agreed otherwise between the parties.
The agreed payment method shall be by ___________________.
Parties agree that under this agreement, the agent is under no obligation to carry out any advertising work if they do not wish, therefore if the agent does not find the work to be lucrative, they can simply stop as there is no minimum or maximum amount of advertising required from the agent. There is also no maximum to the amount one agent can earn.
- Dispute Resolution.
If there arises any dispute regarding the provisions of this agreement, and the agent no longer wants to carry out the work they can simply stop advertising, and no further work is required on their behalf.
Parties agree that this agreement will be terminated in the event of a lack of the agreed-upon payments.
- Non-Disclosure.
The Agent acknowledges that during the performance of the obligations under this agreement, they will come into contact with confidential information, i.e., the location, Contact, and details of the client to which they acknowledge and agree not to disclose to any third parties without the prior written consent from the Company.
The Agent hereby guarantees to the Company that the information being issued about the new/potential business location is true and correct, and the Agent will send the Company the information to contact the business/client.
The agent guarantees not to provide any of the company’s jobs or contact details to any of the Company’s competitors or advertise for any of the company’s competitors.
The parties herein may only modify or amend the terms by the same being reduced into writing and signed by both parties willingly.
The parties agree that no waiver of the rights under this agreement shall be construed as a continuing waiver or as consent to any future or subsequent breaches.
- Entire Agreement.
This agreement constitutes the entire agreement between the parties herein and supersedes any prior oral or written agreements or promises.
Suppose any provision of this agreement is deemed invalid or unenforceable by a court of competent jurisdiction. In that case, the same shall be severed from this agreement, and the remaining provisions shall continue in existence and full force and effect.
By the parties signing herein below, they accept to be legally bound by the terms and provisions of this agreement.
