MUSIC JINGLE AGREEMENT.

This Music Jingle Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2020 (the “effective date”), between A________________, Address ____________ (hereinafter referred to as the “Executive Producer/Owner”), and _____________, Address ____________ (herein referred to as the “Artist”).

WHEREAS, the Artist shall refer to the rapper, RnB singer, the sound engineer and the producer.

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period _____ [Months/Years], commencing on the Effective Date herein.

  • SCOPE.
      1. The Artist shall be responsible for the making the beat (the producer), mixing the sounds (the sound engineer), writing the lyrics and recording (the rapper) and recoding the chorus (the RnB singer).
      2. The Executive Producer shall listen to the jingle before it is presented to the brand, ensure that the jingle is up to standard and ensuring that it is accepted by the brand. Once the brand has approved the jingle, the Executive Producer shall own the song, lyrics and the final product.
  • PAYMENT/ROYALTIES.
    1. The Executive Producer shall receive 45% of the royalties from the jingle.
    2. The Artist shall receive royalties as follows;
  1. The producer shall receive 10% of the royalty
  2. The sound engineer shall receive 5% of the royalty
  3. The rapper and the RnB singer shall receive 20% of the royalty.
  1. Where an agency, on behalf of the Executive Producer, submits the jingle to the brand then the royalties shall be shared as above after the agency fees has been subtracted.

NOTE: The Executive Producer and the Artist shall only be entitled to the royalties if the jingle is accepted by the brand.

  • COPYRIGHTS.

The Executive Producer shall own all the copyright and intellectual property rights to the music jingle. The Artist shall not lay any claim or rights to the music jingle during this Agreement or upon the termination/cancellation of this Agreement.

  • TERMINATION/CANCELLATION.

The Parties acknowledge that either Partner can cancel this Agreement at any time provided that they issue a ___ day written Notice on the same. Upon termination of this Agreement, the terminating Party shall only be entitled to receive royalties up to the date of the termination/cancellation of the Agreement.

  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION. 
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of the ____________ [State/Country]. Exclusive jurisdiction and venue shall be in _____________ [State/Country]. If one party commences any action or proceeding against the other to enforce the terms of this Agreement, the prevailing Party will be entitled to an award against the other Party for all reasonable attorneys’ fees, costs and expenses incurred by the prevailing Party in connection with the action or proceeding and in connection with the enforcement of any judgment or order the prevailing party obtains.
    3. This Agreement shall be binding upon and inure to the benefit of the Executive Producer and the Artist and their respective successors and assigns, provided that the Artist may not assign any of their obligations under this Agreement without the Executive Producer’s prior written consent.  
    4. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.

IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
