SPONSORSHIP AGREEMENT.

This Sponsorship Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ______ day of _______ 2021 (the “Effective Date”), between __________________, Contact Info: ___________, (hereinafter referred to as the “Company”), and _________________, Contact Info: ____________ (herein referred to as the “Sponsor”).

WHEREAS, the Sponsor is a business entity that makes donation on behalf of existing charities.

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period ____ [Weeks/Months/Years] commencing on the Effective Date herein.

  • SCOPE.
      1. The Sponsor shall make financial donations on behalf of existing charities, the Company uses the donations to purchase merchandise used to raise funds on behalf of the charities. The donations are also used to fund marketing campaigns organized by the Company for the charities. 
      2. The Sponsor has, under this Agreement, made _______ Euro donation towards the charities.
      3. The Company shall acknowledge the Sponsor donation by mentioning the Sponsor, with the Sponsor written consent, in the marketing campaigns. The Company’s marketing team shall be responsible for advertising the charity online, including using social media platforms such as Facebook and Instagram. The Company shall connect social media links to the brand in order to raise the sales and draw attention to the charity events.
  • TERMINATION/CANCELLATION.

The Parties acknowledge that any Party can terminate/cancel this Agreement at any time provided that they issue a ___ day Written Notice on the same.

  • COPYRIGHTS/WAIVER.
      1. The Company shall own all and any copyrights over the commissioned T-shirts and any other merchandise covered under this Agreement. The Company shall have the right sell, reproduce, brand, advertise and market the merchandise as they see fit. The Sponsor shall not lay any claim or rights to the merchandise during the term of this Agreement or the termination/cancellation thereof.
      2. The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.  
  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION. 
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of the England. Exclusive jurisdiction and venue shall be in England. 
    3. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.

IN WITNESS WHEREOF, this Agreement has been executed by the parties as of the Effective Date.
