NUTRITION COACHING AGREEMENT.

This Nutrition Coaching Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Vilmos Bond, CEO, Wellness Next Step, Contact Info: ____________, (hereinafter referred to as the “Company”), and Tamara Queen, Contact Info: ____________ (herein referred to as the “Coach”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period One Year commencing on the Effective Date herein, subject to a review after the expiry of this period.

  • SCOPE.
      1. The Coach shall work under the Company to advertise the Company’s services, gain more customers for the Company and to offer coaching services to the Company’s clients.
      2. The Coach shall have access to the Company’s coaching program, website, Google workspace, Nutrition App, logo and social media platforms to make posts on behalf of the Company.
  • COMMISSION/PAYMENT.

The Coach shall get 40% commission from every clients assigned to her and 60% commission from clients who were generated for coaching. Payments shall be made once monthly by the 5th of each new month.

  • TERMINATION/CANCELLATION.

Parties agree that either Party can terminate/cancel this Agreement at any given time, provided that the intending Party provides the other Party a Written Notice on the termination. The Company agrees to pay the Coach any/all commissions due before the termination/cancellation is effected.

  • PROPRIETARY RIGHTS.

The Coach shall transfer all and copyrights, patent and proprietary rights, present and future rights to title and interests to all intellectual property created or discovered during this Agreement. Proprietary rights shall include but not limited to logarithms, code, concepts, developments, designs, discoveries, ides, formulas, improvements, inventions, processes, software, trademarks, tangible embodiments (drawings, notes) and coaching secrets/trade secrets belonging to the Company.

  • LIABILITY/WAIVER/INDEPENDENT CONTRACTOR.
      1. The Company shall not, during the term of this Agreement, be held liable for any injuries suffered by the Coach while carrying out their obligations under this Agreement, as long as the injuries are not in any way due to the Company’s negligence. The Coach agrees to indemnify the Company against any claims that may arise from the performance of this Agreement. 
      2. The waiver by either party of any breach or failure to enforce any of the terms and conditions of this Agreement at any time shall not in any way affect, limit, or waive such party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.  
      3. The Coach shall be retained as an independent contractor.  The Coach shall be fully responsible for payment of their own income taxes on all compensation earned under this Agreement.  The Company shall not withhold or pay any income tax, social security tax, or any other payroll taxes on the Coach behalf during the term of this Agreement.
  • GENERAL PROVISION, GOVERNING LAW AND JURISDICTION. 
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of the ____________ [State/Country]. Exclusive jurisdiction and venue shall be in _____________ [State/Country].
    3. This Agreement shall be binding upon and inure to the benefit of the Company and the Coach and their respective successors and assigns, provided that the Coach may not assign any of their obligations under this Agreement without the Company’s prior written consent.  
    4. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
