SALE AND PURCHASE OF BUSINESS AGREEMENT.

This Sale and Purchase of Business Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Harry Ahn, for Hermes Bitcoin, Contact Info: __________________________, (hereinafter referred to as the “Company”), and Yaro Celis, for YCO Bitcoin, Contact Info: ______________________ (herein referred to as the “Business”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period ____ [Weeks/Months/Years] commencing on the Effective Date herein.

  • SCOPE.

The Company is purchasing Bitcoin ATM and its location from the Business for Sixty Thousand Dollars ($56,000), on the following conditions:

  1. Two Thousand Dollars ($2,000) rent for the machines paid on ____ day of ____ 2021.
  2. Four Thousand Dollars ($4,000) down payment in Bitcoin paid on _____ day of ____ 2021.
  3. Four Thousand Dollars ($4,000) monthly payments paid on before the ___ day of each month, payable to the Business’s ___________ Account.
  • TRANSFER OF OWNERSHIP. 

The Business shall transfer the ownership of the 7 Bitcoin machines on the ____ day of ___ 2021, the Business shall forfeit any and all rights over the Bitcoin ATM machines covered under this Agreement. The Company shall from the date motioned herein, be responsible for paying the rent and all related expense.

  • MARKETING.

The Business shall continue marketing the location on ycobitcoin.com and via SEO for Three Hundred Dollars ($300) per month, and provide consultation monthly.

  • MODIFICATION.

This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.

  • GOVERNING LAW/JURISDICTION.
    1. This Agreement shall be governed by and construed in accordance with the laws of ________________ [State/Country]. Exclusive jurisdiction and venue shall be in ___________ [State/Country].  
    2. Each party represents and warrants to the other that such party has acted in good faith, and agrees to continue to so act, in the negotiation, execution, delivery, performance, and any termination of this Agreement.
