BOOK ILLUSTRATION AGREEMENT

BOOK ILLUSTRATION AGREEMENT.

This Book Illustration Agreement (hereinafter referred to as the “Agreement”) is made and entered on this ____ day of _____ 2021 (the “Effective Date”), between Michal Genca (Art on words), Contact info: ______________ (hereinafter referred to as the “Author”), and Paula ______, Contact Info: _______________________. (hereinafter referred to as the “Illustrator”).

NOW THEREOF, in consideration of the mutual covenants and promises made by the Parties hereto, the Parties covenant and agree as follows:

  • TERM.

The initial term of this Agreement shall be for a period _________ [Days/Weeks/Months/Years] commencing on the Effective Date herein. This period is subject to change depending on the response of the Illustrator and the number of revisions made.

  • SCOPE.
      1. The Illustrator shall provide 3 illustrations for the Author’s vintage book project. The Illustrator shall provide the Author with enough time for revisions of the illustrations before the final project is presented. The Illustrator shall make the final illustrations after the revisions and submit the final product to the Author.
      2. The Author shall promote/advertise and market the illustrations covered herein on the Author’s social media platforms, through ads, email marketing, on social media platforms of influencers and any other platforms.
      3. The Author shall tag and/or mention the Illustrator’s name on social media or on product page, website, in ads and on posts.
  • PAYMENT.

The Author shall be Six Hundred Dollars ($600) for the services covered under this Agreement, a down payment of ________ Dollars shall be made on the Effective Date herein and the balance paid upon the completion of this project. Payment shall be made to the Illustrator’s ______________ Account.

  • PROPRIETARY.
      1. The Illustrator shall own all the copyright to the project covered under this Agreement during the term of the Agreement. Upon completion of the project and payment of the last instalment, all and any proprietary rights shall be transferred to the Author. The Author shall have the right to use, reuse, sell, alter and make use of the final product as they see fit. The Parties understand that the proprietary rights covered under this Agreement shall not be transferred to any other entity.
      2. The Illustrator shall have a right to use/sell the illustrations covered under this Agreement as prints and posters.
      3. The Illustrator shall not be held liable for any legal issues arising from the use of the illustrations or from the publication of the Author’s book, provided that the Author checks and approves the illustrations. The Author is responsible for checking to ensure that the illustrations do not infringe on any copyrights. The Author shall protect, defend and indemnify the Illustrator against any and all legal issues arising from the use of the illustrations.
  • ASSIGNMENT/FORCE MAJEURE/WAIVER.
      1. The Illustrator shall not assign their obligations or subcontractor their services without prior written notice and/or consent from the Author.
      2. The failure on the part of the Illustrator to perform their obligation under this Agreement will not be considered as default if such failure is the result of natural calamities, acts or God, Covid-19, extreme adverse disasters and circumstances beyond the control of the parties.
      3. The waiver by either party of any breach or failure to enforce any of the terms of this Agreement at any time shall not in any way affect, limit, or waive such Party’s right thereafter to enforce and compel strict compliance with every term and condition of this Agreement.
  • TERMINATION/CANCELLATION.

The Parties acknowledge that either Partner can cancel this Agreement at any time provided that they issue a Written Notice on the same. If the Illustrator terminates/cancels the Agreement before they start the project, they shall promptly refund the down payment. If the Author terminates/cancels the Agreement after the start of the project, the Illustrator shall not be obligated to make any refunds and shall not be obligated to hand over the project.

  • MODIFICATIONS, GOVERNING LAW AND JURISDICTION.
    1. This Agreement contains the entire Agreement between the Parties relating to the subject matter hereof and supersedes any and all prior agreements or understandings, written or oral, between the parties related to the subject matter hereof.  No modification of this Agreement shall be valid unless made in writing and signed by both parties hereto.
    2. This Agreement shall be governed by and construed in accordance with the laws of the State of __________, USA. Exclusive jurisdiction and venue shall be in _________, USA.
