THIS AGREEMENT is hereby entered into on this ………………day of …….……………. Two Thousand and ……………………………

BETWEEN

  1. XXX, hereinafter referred to as (“XXX”)

AND

  1. [Speaker’s Name], hereinafter referred to as (“Guest/Speaker”)

WHEREAS, XXX desires to electronically record the speaker’s presentation/ interview video recording for the virtual summit called List Building Secrets With A.I.

WHEREAS, Guest/ Speaker understands that for educational, promotional, and commercial application, XXX will make Speaker’s presentation/ interview video recording available at no charge for attendees of this virtual event.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the sufficiency of which is hereby acknowledged, the parties agree as follows:

  1. RECORDING RIGHTS:

3.1 Guest/Speaker hereby grants XXX the right to use their name, voice, appearance, likeness, image, words, participation, and title or professional designation, in whole or in part, in these Recordings and/or compilations, and in any correspondence, publicity, advertising, promotional, or other derivative materials based on them. XXX a has no obligation to make use of the rights granted herein.

  1. OWNERSHIP AND USAGE RIGHTS:

4.1 Guest/Speaker hereby grants XXX the unconditional and irrevocable right to reproduce the Recording in any format, and to distribute, sell, prepare derivative works, advertise, and publicize the Recordings without compensation to Guest/Speaker (except for the entitled affiliate commission detailed in #8 below). XXX  may edit the Recording at her discretion. XXX shall own the worldwide rights, title, and interest, including copyright in and to the Guest/Speaker’s Recording. However, Guest/Speaker shall also retain the right to use their own Recording for any purpose.

  1. COPY OF RECORDING:

5.1 Upon written request to XXX , Guest/Speaker shall be provided with a copy of their Recording in electronic format.

  1. PROMOTIONAL OBLIGATIONS:

6.1 Guest/Speaker agrees to fulfill the following promotional obligations:

  1. a) Guest/Speaker shall send a minimum of 2 (two) solo emails to their entire database during the agreed-upon promotion period.
  2. b) Guest/Speaker shall send 3 (three) social media posts during the promotion period.
  3. FREE OFFER:

Guest/Speaker is permitted to make a FREE offer during their presentation/interview.

  1. VIP BONUS BUNDLE CONTRIBUTION AND COMMISSION:

8.1 VIP Bonus Bundle Contribution: As a Guest/Speaker of the List Building Secrets with A.I. Virtual Summit, there is the option to join the VIP Bonus Bundle (“Bonus Bundle”). By joining the Bundle, Guest/Speaker can contribute additional digital products, services, or resources to enhance the value of the Summit for VIP attendees.

8.2 Contribution and Commission: If Guest/ Speaker chooses to contribute to the VIP Bonus Bundle, Guest/Speaker will be eligible to become an affiliate of the “Bonus Bundle” and receive a 40% commission on each sale they make using their unique affiliate link. The commission will be calculated based on the net revenue generated from the sales, after deducting any applicable taxes, refunds, or chargebacks.

8.3 Commission Payout: XXX agrees to pay Guest/Speaker a commission of 40% for each VIP Bonus Bundle sold as a result of the Guest/Speaker’s Contribution. The commission payout will be made on September XXX, using the PayPal platform. Guest/Speaker shall provide XXX with the necessary PayPal account details for the purpose of receiving the commission.

8.4 Please note that participation in the “Bonus Bundle” affiliate program is optional, and Guest/Speaker is not required to join or contribute to the Bonus Bundle. However, if Guest/Speaker chooses to participate, Guest/Speaker agrees to abide by the terms and conditions of the affiliate program.

  1. REPRESENTATIONS AND INDEMNITY:

9.1 Guest/Speaker represents that they have the full right, power, and authority to grant this release and to perform all provisions hereof. Guest/Speaker acknowledges that XXX shall be entitled to seek injunctive or equitable relief, in addition to any other rights or remedies available at law, for any breach of this Agreement.

9.2 Guest/Speaker agrees to indemnify and hold harmless XXX from and against all claims, losses, expenses, and liabilities of every kind, including reasonable attorney’s fees, arising out of the inaccuracy or breach of any provision of this Agreement. Guest/Speaker expressly releases XXX  from any and all claims arising out of the use of the material.

  1. CONFIDENTIALITY:

10.1 Guest/Speaker agrees to keep all non-public information received from XXX regarding the Summit, attendees, and any other confidential information disclosed during the course of their participation, strictly confidential. Guest/Speaker shall not disclose, use, or exploit such information for any purpose other than the Summit.

  1. GOVERNING LAW AND JURISDICTION:

11.1 This Release Form shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of laws principles.

  1. ENTIRE AGREEMENT:

12.1 This Release Form constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior discussions, negotiations, and agreements, whether oral or written.

IN WITNESS WHEREOF, the parties have executed this Virtual Summit Speaker Release Form as of the Effective Date.
