WORK FOR HIRE AGREEMENT

THIS AGREEMENT is hereby entered into on this ………………day of …….……………. Two Thousand and ……………………………

BETWEEN

1.XXX, hereinafter referred to as (“MR. XXX”)

AND

2.XXX, hereinafter referred to as (“Singer”)

  1. RECORDING:

3.1The production of the recording titled “The Brush Your Teeth Song” (hereinafter referred to as the “RECORDING”) shall take place at dates and times to be mutually agreed upon by MR. XXX and SINGER. The RECORDING must be approved by MR. KIND as technically satisfactory.

  1. COMPENSATION:

4.1 Upon completion of the RECORDING, MR. XXX  agrees to pay SINGER the sum of 326 USD for SINGER’s services under this Agreement.

  1. RIGHTS:

5.1 The RECORDING created under this Agreement shall be considered a “work made for hire.” All rights in any work created under this Agreement, including COPYRIGHT and PUBLISHING rights to the underlying composition, shall belong solely to MR. XXX

5.2 All rights to the master sound recording made under this Agreement, starting from the inception of recording, shall be the exclusive property of MR. XXX, and any claims to such rights by SINGER or any other party shall be deemed null and void.

5.3 MR. XXX retains the exclusive right to claim ownership of and register the copyright of this RECORDING, including any renewals and extensions of such copyright, throughout the world.

5.4 It is acknowledged that the usage rights granted to MR.XXX  are irrevocable, meaning that once granted, SINGER cannot reclaim or rescind these rights at any point in the future.

  1. DISPUTE RESOLUTION:

6.1 Any dispute arising from or related to this Agreement shall be resolved through mediation administered by the American Arbitration Association under its Commercial Mediation Procedures. If mediation fails to resolve the dispute, the parties agree to submit to the exclusive jurisdiction of the courts in United States.

  1. GOVERNING LAW:

7.1 MR. KIND and SINGER mutually agree that this written agreement is a legally binding document governed by the laws of the United States and will be subject to the jurisdiction of the courts of the United States.

  1. LIABILITY:

8.1 In the event of a violation of any of the clauses mentioned above, MR. KIND and SINGER understand that they will be held liable for damages and attorney fees.

  1. AMENDMENT:

9.1 No modification or amendment of this Agreement shall be valid or binding unless it is in writing and duly executed by all parties hereto
