AGENCY AGREEMENT
This agreement is entered into on __________ by and between ______________
(hereinafter referred to as the “Agent”) and ____________ (hereinafter referred to as
the “Creator”). Together referred to as “parties”.
WHEREAS the parties herein agree that the Creator shall provide and publish
content to the OnlyFans platform;
WHEREAS the parties agree that the Agent shall be responsible for managing,
promoting, and optimizing the Creator’s account for success.
Parties agree to be legally bound by the following terms; –
1. Term.
This Agreement shall be for thirty (30) days from the date of signing this agreement.
2. Price and Payment.
Parties agree that the Creator shall pay ____% of the monthly net revenue from the
Onlyfans.
The payment shall be paid on the 1 st day of the following month.
3. Ownership.
The parties herein agree that the content uploaded belongs to and is exclusively
owned by the Creator.
4. Governing Law.
The parties herein agree that the provisions of this Agreement shall be governed in
accordance with and governed by the laws of the state of Maine.
5. Confidentiality.
The parties agree and acknowledge that they both own valuable trade secrets and
other confidential information, e.g., passwords. The parties agree they will not
disclose to any third parties without the prior written consent of the other party.
The Agent acknowledges that it will not use the social media platforms for the
Creator in any way that will be perceived as being negative or against the law.
6. Dispute Resolution.
If there is a dispute between the parties, the same shall be negotiated between
them, and if it fails, the dispute shall be referred to mediation.
Each party shall bear its costs.
7. Termination.
The parties herein agree that the Agent has the right to terminate this agreement at
his discretion with notice to the creator.
8. Entire Agreement.
This Agreement constitutes the complete Agreement between the parties and
supersedes any prior written or oral agreements or understandings.
9. Severability.
If any provision of this Agreement is deemed invalid or unenforceable by a court of
law, the same shall be severed from the Agreement, and the remaining provision
shall continue in full force and effect.
10. Amendment.
In the event of any amendment or modification, the same shall be agreed upon
between the parties, put into writing, and signed by the parties.
11. Waiver.
The failure of any party to exercise any right or provision of this Agreement shall not
be considered a waiver of any prior or subsequent rights.
