SALES/MARKETING COMMISSION AGREEMENT.
This sales/marketing commission agreement (hereinafter referred to as the
“Agreement”) is entered into on this ________ day of __________ 20__by and
between ______________ (hereinafter referred to as the “Company”), and
________________ (hereinafter referred to as the “Agent”). Together referred to as
“parties”.
WHEREAS the purpose of this agreement is to provide sales and marketing
services. The parties agree to be bound by the following terms and conditions.
1. Purpose.
Parties agree that this agreement serves as authorization for the Agent to sell cell
phones (referred to as “products”) and market the products on behalf of the
Company.
These rights are non-transferable and exclusive.
The Company will be responsible for product manufacturing, software, support,
warranty, and anything related to the support of the product.
The Agent will be responsible for systems/processes/CPC to acquire the sales.
The Agent agrees to abide by the Company’s pricing policies.
The Agent shall not offer discounts without the Company’s written approval.
2. Term.
This agreement shall be for a term of ___________.
3. Records.
The Agent agrees to use the documentation tool provided by the Company and any
other necessary system. The documentation shall be shared with the Company
whenever requested.
4. Commission Structure.
The parties herein agree that the Company will compensate the Agent for the sales
and marketing of the Company’s products as follows:
30% commission on all the businesses brought in (off a full-price sale, as well
as subscriptions.
The commission will be paid out monthly on the 1 st of each month for the
accounting period ending in 30 days.
5. Non-Disclosure.
The Agent and the Company acknowledge that during the performance of his
obligations under this agreement, they will come into contact with confidential
information, trade secrets, and intellectual property which they acknowledge and
agree not to disclose to any third parties without the prior written consent from the
other party.
6. Governing Law.
This agreement shall be governed and interpreted in accordance with the laws of
___________.
7. Modification.
The parties herein may only modify or amend the terms herein by the same being
reduced into writing and signed by both parties willingly.
8. Waiver.
The parties agree that no waiver of the rights under this agreement shall be
construed as a continuing waiver or as consent to any future or subsequent
breaches.
9. Entire Agreement.
This agreement constitutes the entire agreement between the parties herein and
supersedes any prior oral or written agreements or promises.
10. Acceptance.
By the parties signing herein below, they accept to be legally bound by the terms and
provisions of this agreement.
