CONTRACT
BETWEEN
OSCAR MURGA
AND
OSNIEL MURGA HERNANDEZ

THIS AGREEMENT is made on the _____day of _________________20____, (hereinafter, “Effective
Date”) entered into by Oscar Murga of _____________________________________________address,
and Osniel Murga Hernandez of
___________________________________________________address. Collectively referred to as the
“Parties” or individually as the “Party”) and includes that Party’s successors and assigns.
In consideration of covenants and agreements contained in this agreement, and other good and valuable
consideration, the receipt of which is hereby acknowledged, Parties agree to the following terms and
conditions and to be bound thereby:
1. PURPOSE
The purpose of this agreement is to provide for:
a) The terms governing the use and transfer of Truck Number 732 2017 Freightliner (hereinafter the
“Truck”) registered to Murga Trucking Inc (hereinafter the “Company”) to Osniel Murga
Hernandez.
b) The terms governing the repayment of a $ 12,000 debt owed by Osniel Murga Hernandez/
Sabrina Trucking.
2. THE CONSIDERATION
Osniel Murga Hernandez accepts to be liable for the Truck, and this liability shall be deemed to
have vested upon him as of 1 st August, 2022. This included but is not limited to liability for the
accident that occurred in the aforementioned month of August, without being a member of the
Company and as a result, Osniel Murga Hernandez will not have to pay $2, 500 as a deductible.
Should the Company incur any liability form the above, Osniel Murga Hernandez and/or Sabrina
Trucking shall be liable for any cost incurred by the Company.
Sabrina Trucking and/or Osniel Murga Hernandez shall continue paying the $12,000 debt owed
to the Company and River advance as follows: Four (4) payments of $3,000 each on or before the
10 th day of each month, the balance of herein is $9, 120. There shall be a $120 fee for delayed
payment of more than 2 days.
Every last day of the month, Sabrina Trucking and/or Osniel Murga Hernandez shall make a
$1240 payment for the Truck.
The Truck shall not be damaged in any way including but not limited to physical damage at any
moment until the loan is satisfied and should such damage occur and it does not cover the loan,
Osniel Murga Hernandez shall be held personally liable.
Breach of this conditions, and specifially late payment for 20 days or more, shall lead to
repossession of the Truck.
Subject to satisfaction of all monetary obligations, and satisfaction of any outstanding obligation
of Sabrina Trucking and/or Osniel Murga Hernandez, the Truck will be transferred to Osniel
Murga Hernandez’s name.
3. DISPUTE RESOLUTION
Parties agree to settle disputes under this Agreement through (select one)
☐Negotiation ☐Mediation ☐Arbitration ☐Litigation.
4. DRAFTING RESPONSIBILITY
Neither party shall be held to a higher standard than the other party in the interpretation or enforcement of
this Contract as a whole or any portion hereof based on drafting responsibility.
5. CHANGES TO THE AGREEMENT
Either Party may request changes to the agreement, but they will only be effective if agreed in writing,
and signed by all Parties. If any ambiguity is found in the agreement or various documents forming this
agreement, the Parties shall issue any necessary clarification or instruction.
6. NO WAIVER
A waiver by one Party of any right or benefit provided in this Agreement does not infer or permit a
further waiver of that right or benefit, nor does it infer or permit a waiver of any other right or benefit
provided in this Agreement.
7. SEVERABILITY
The provisions of this agreement are severable. If any provision is held to be invalid or unenforceable, it
shall not affect the validity or enforceability of any other provision.
8. COUNTERPARTS
This agreement may be executed in any number of counterparts, each of which shall be deemed to be an
original and all of which taken together shall constitute one instrument.
9. ENTIRE AGREEMENT
This agreement constitutes the entire agreement between the parties. It supersedes all prior oral or written
agreements or understandings between the Parties concerning the subject matter of this agreement. All
documents annexed to this agreement shall be subject to the terms under this agreement, provided that the
Parties append their signatures on the documents. The Parties will exercise utmost good faith in this
agreement.
10. HEADINGS
The article and section headings in this agreement are for convenience; they form in no part of this
agreement and shall not affect its interpretation.
11. PRONOUNS
All pronouns and any variations thereof shall be deemed to refer to the masculine, feminine, neuter,
singular, or plural, as the identity of the person or entity may require. As used in this agreement: words of
the masculine gender shall mean and include corresponding neuter words or words of the feminine
gender, and words in the singular shall mean and include the plural and vice versa.
12. GOVERNING LAW
This Agreement shall be governed in all respects by the laws of Florida jurisdiction, and its Courts
without regard to its conflict of law provisions.
IN WITNESS WHEREOF, each of the Parties has executed this agreement, as of the day and year set
