Warranty
Except as otherwise expressly provided herein, Contractor warrants that all work performed
herein shall be performed in a good and workmanlike manner. Contractor provides 12 months
workmanship warranty from the date of completion of services. Any defects arising afterwards
are not warranted by Contractor The workmanship warranty covers damage or defects caused by,
or in relations to our provision of Services. Damages caused by others or on work performed by
others shall not be covered. The warranty shall be limited to defects in workmanship within the
scope of work performed by Contractor and which arise and become known and for which notice
is given to Contractor within ______days of completion.
Should any defects develop during the warranty period, Contractor shall remedy the defects at no
expense to the Client provided the Client sends the said notice. This shall constitute the sole
remedy of Client and the sole liability of Contractor for repair of defective workmanship. THE
FOREGOING WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER
WARRANTIES, WHETHER WRITTEN, ORAL, EXPRESSED, IMPLIED OR STATUTORY
(INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
The Contractor shall not be liable for any material defects, existing structure defect, or injury
sustained. To the fullest extent permitted by law, the total liability, in the aggregate, of
Contractor, Contractor’s officers, directors, partners, employees, agents, and subcontractors, to
Client, and anyone claiming by, through, or under Client for any claims, losses, costs, or
damages whatsoever arising out of, resulting from the Contractor’s services from any cause or
causes, including but not limited to negligence, professional errors and omissions, strict liability,
breach of contract, or breach of warranty, shall not exceed the total compensation received by
Contractor from the Client.
Indemnification
THE CLIENT AGREES TO INDEMNIFY, HOLD HARMLESS AND DEFEND THE
CONTRACTOR AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS FROM
AND AGAINST ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT OR SPECIAL
DAMAGES, OR FOR ANY LOSS OF PROFITS OR BUSINESS INTERRUPTIONS CAUSED
OR ALLEGED TO HAVE BEEN CAUSED HEREIN, AND FROM AND AGAINST ANY
AND ALL THIRD-PARTY CLAIMS, DEMANDS, LIABILITIES, COSTS OR EXPENSES,
INCLUDING REASONABLE ATTORNEYS’ FEES HEREIN.
